
1.Introduction to Firm
Archer Bramley Limited has provided quality advice on investments to clients since 8 August 2001. We have pleasure in setting out our Terms of Business that will come into force immediately when we begin to provide any of the services specified in this document or any activity associated with those services.
2. Regulatory Declaration
Archer Bramley Limited is authorised and regulated by the Financial Services Authority and is authorised to advise clients. Archer Bramley Limited is bound by the rules of the Financial Services Authority.
3. Services Provided by the Firm
Archer Bramley Limited provides independent advice on and arranges life assurance, pensions, investments in authorised unit trusts, investment trusts, ISAs, collective investment schemes and endowments.
We also provide advice on and arrange mortgages which are not regulated by the Financial Services Authority.
4. Payment for Services
We can derive income for our services in two ways, fees and/or commission.
Charging a Fee – prior to assessing your financial circumstances and conducting any business we will discuss a proposed fee with you and confirm this in writing in the form of a fee agreement. The fee charged will take account of the nature and extent of the services provided and may be calculated using a standard hourly rate or represent a fixed cost.
Receiving Commission – For arranging contracts Archer Bramley Limited will receive commission from the product provider. The commission we will receive will be disclosed to you in writing.
3. If you subsequently cease to pay premiums on a policy and, in consequence, we are obliged to refund the commission that has been paid to us, we reserve the right to charge you a fee reflecting our loss.
5. Basis of Advice
With regard to advice on “packaged products”, your adviser is independent and therefore will act on your behalf when giving advice. Because your adviser is independent he or she is able to advise you on products offered by different product providers.
This in contrast to those advisers who are restricted to advise on the packaged products offered by one provider or marketing group and, where relevant, any packaged products from outside the marketing group that are adopted packaged products.
6. Advice and Instructions
Any advice given to you will be given orally and confirmed in writing.
We will normally ask our clients to give instructions in writing before we act for them, however, in some circumstances we will accept oral instructions provided they are confirmed in writing as soon as practicable after the instruction has been given.
7. Our Dealings With You
We will review our records of your investments every 12 months and write to you, if appropriate, to suggest that we arrange a meeting to re-assess your financial circumstances and objectives.
8. Client Money
WE DO NOT HANDLE CLIENT’S MONEY. We will not accept a cheque made out to us, unless it is in settlement of charges for services provided, or handle cash. All cheques for premiums, investment monies etc must be made payable to the relevant product provider.
9. Investment Records
All investments will be registered in your name unless you instruct us otherwise in writing.
We will account to you for transactions effected on your behalf either by means of a contract note, or by providing documents showing ownership of your investments. Such documents will be forwarded to you as soon as practicable after we receive them. Where a number of documents relating to a series of transactions are involved, we will normally hold each document until the series is complete and then forward them to you.
10. Records
Archer Bramley Limited will maintain records of any advice you are given including details of any transactions subsequently arranged, for a period specified by the Financial Services Authority, but not less than 3 years. You have the right to inspect any records relating to your transactions. These will be provided to you or your appointed agent upon receipt of your written request.
11. Personal Interest
We provide independent advice, but occasions can arise where we, or one of our other customers, will have some form of interest in the business which we are transacting for you. If this happens, or we become aware that our interests or those of one of our other customers conflict with your interests, we will inform you and obtain your consent before we carry out your instructions.
12. Complaints
If you should have any complaints about the advice you have received or a product you have bought please write to David Archer, Managing Director, at the Nottingham address below. We will endeavour to investigate your complaint as efficiently as possible and will advise you of our conclusions in writing.
If you have any concerns or remain dissatisfied with our investigations, you may complain directly to the Financial Ombudsman Service, details can be obtained from our office upon request.
13. Compensation
Professional Indemnity Insurance is maintained for the protection of our clients. We are covered by the Financial Services Compensation Scheme. You may be entitled to compensation from the scheme if we cannot meet our obligations. This depends on the type of investment business and the circumstances of the claim. Most types of investment business are covered for 100% of the first £30,000 and 90% of the next £20,000, so the maximum compensation is £48,000. Further information about compensation arrangements is available from the Financial Services Compensation Scheme.
14. Termination
The authority to act on your behalf may be terminated at any time without penalty by either party giving seven days notice in writing to that effect to the other. Such termination will be without prejudice to the completion of transactions already initiated on your instruction. Any transactions effected before termination and a due proportion of any charges for services shall be settled to that date.
